Terms of Service

The agreement

These terms are an agreement between [legal entity name] ("we", "us") and the business that signs up for haul.rocks ("you"). The person who accepts them confirms they can bind that business. Your admins are responsible for the people they add to your account and for how those people use it.

What haul.rocks is, and is not

haul.rocks is software for planning and recording hauling work: scheduling trucks and drivers, sharing work with subcontractors, recording load tickets and time, and invoicing.

We are not a motor carrier, freight broker or party to any hauling job. Agreements to haul, rates, payment between you and your customers or subcontractors, insurance, licensing, hours-of-service, vehicle inspections and safety remain your responsibility. Suggestions the software makes, such as Auto-Assign, estimated round-trip times, empty miles and compliance reminders, are aids; check them before relying on them.

Drivers must not use the app while driving. Use it only when safely stopped.

Plans, trials and billing

• Fleet plans are priced by the number of active trucks and include every feature. They start with a 30-day free trial with no card required; add a payment method before the trial ends to continue.
• Subcontractors invited by a prime contractor get their first 30 days free and are asked for a card at the end of that period.
• Subscriptions renew automatically each month or year until cancelled. Annual plans are billed up front. Prices may change at renewal with at least 30 days' notice, except under the founding-fleet price lock: if you subscribe on or before March 31, 2027, your plan's price will not increase while your subscription stays active. Moving to a different plan locks that plan's price on the day you move.
• Trucks marked out of service do not count toward your plan. If you stay over your plan's truck limit for more than 30 days, you move to the plan that fits at your next renewal. We never block dispatch for going over.
• Network discount: each subcontractor you invited that pays for haul.rocks and ran at least one of your trips in a billing period takes 10% off your plan for that period, up to 50%. It is calculated automatically and cannot be exchanged for cash.
• Money-back promise: if you ask by email within 30 days of your first paid charge, we refund that charge in full and cancel the subscription. This applies once per company. Other fees are non-refundable except where the law requires otherwise.
• You can cancel at any time from Manage billing; your plan stays active until the end of the period you paid for. Taxes are added where required.
• Add-ons, such as Timebridge time tracking, are billed as shown when you turn them on.

Your data

You own the information you and your users put into haul.rocks. You give us permission to host, process and transmit it only to provide and support the service, to keep it secure, and to produce aggregate statistics that do not identify you or any person. Our Privacy Policy describes how we handle personal information.

You are responsible for having the right to enter the information you add, including your drivers' and customers' contact details, and for getting the consent the law requires before you add someone's mobile number to text them or turn on location sharing for your drivers.

You can export invoices and pay statements at any time (CSV and printable pages). After cancellation, you have [30] days to ask us for an export before your data is deleted as described in the Privacy Policy.

Text messages

If you use haul.rocks to text your drivers, you agree to text only people who agreed to receive work texts from you, and only about their work. Recipients can reply STOP to opt out, and we will stop texting that number. Message and data rates may apply. We may suspend texting for an account that receives excessive complaints or carrier blocks.

Acceptable use

• Don't use haul.rocks to break the law, send spam, or harass anyone.
• Don't try to access other companies' data, probe or overload the service, or get around its limits or security.
• Don't resell the service or copy it to build a competing product.
• Don't upload malware or content you have no right to share.

We may suspend an account that puts the service or other users at risk, and will tell you why unless the law or an emergency prevents it.

Availability and changes

We work to keep haul.rocks available and to back up your data, but we do not guarantee it will be uninterrupted or error-free. We may improve and change the service; if we remove a feature you rely on, we will give reasonable notice.

Disclaimers and limits of liability

Except as stated in these terms, haul.rocks is provided "as is", without warranties of merchantability, fitness for a particular purpose or non-infringement, to the extent the law allows.

To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or lost profits or revenue, and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim. Indemnity

You will defend and indemnify us against third-party claims arising from your hauling operations, the information you put into haul.rocks, or your use of it in breach of these terms or the law. [Counsel: mutual indemnity for IP infringement?]

Ending the agreement

You can cancel at any time. We can end the agreement with 30 days' notice, or immediately if you seriously breach these terms. Sections that by their nature should survive (fees owed, your data, disclaimers, limits of liability, indemnity) survive.

General

These terms are governed by the laws of [state], and disputes go to the courts of [county, state]. We may update these terms; if a change matters, we will tell account admins at least 30 days before it takes effect. Questions: sales@haul.rocks.
